The terms that govern your use of the Xita website and platform.
These Terms of Service ("Terms") govern your access to and use of the website at www.xenie.io and the Xita platform (the "Service"), provided by Xenie LLC ("Xenie," "we," "us"). By accessing the site or using the Service, you agree to these Terms.
The Service
Xita is a point-of-sale and retail management platform offered to businesses. Features, hardware compatibility, and availability may change as the product evolves.
Eligibility; business use
The Service is intended for use by businesses and their authorized personnel. By using it you represent that you are acting on behalf of a business and are authorized to bind that business to these Terms.
Fees and billing
Xita is sold through a sales process. Pricing is provided by quote, and fees are billed by invoice under a separate written service agreement or order between you and Xenie. Payment terms, renewal, and taxes are governed by that agreement. Unless stated otherwise there, invoices are due as specified on the invoice.
Intellectual property
The Service, this website, and all related software, content, and marks — including "Xenie," "Xita," and "Xita POS" — are owned by Xenie LLC and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service as permitted by your agreement. No other rights are granted.
Acceptable use
You agree not to misuse the Service, including by attempting to disrupt it, access it without authorization, reverse engineer it except as permitted by law, or use it to violate any law or the rights of others.
Third-party services
The Service may integrate with third-party hardware and services (such as payment terminals and printers). Your use of those is subject to the third party's terms, and we are not responsible for third-party products.
Disclaimers
Except as expressly stated in a signed agreement, the Service and website are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Xenie LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to the Service. Our total liability is limited as set out in your service agreement.
Indemnification
You agree to indemnify and hold Xenie LLC harmless from claims arising out of your misuse of the Service or violation of these Terms.
Export compliance and legal restrictions
The Service is controlled and operated from the United States and is intended for use within the United States. You agree to comply with all applicable U.S. export control and economic sanctions laws and regulations. You may not access or use the Service if you are located in, or are a national of, a country or region subject to U.S. embargo, or if you are a person or entity on a U.S. government restricted or denied-party list. You are responsible for compliance with local laws to the extent local law applies.
Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Wyoming, unless your service agreement states otherwise.
Changes
We may update these Terms from time to time. Changes take effect when posted on this page, and we will update the date above. Your continued use of the Service means you accept the updated Terms.
